1. Introduction

These Terms of Service ("Terms") govern your use of the services provided by Lester & Carter Consulting (Pty) Ltd ("Lester & Carter", "we", "our", or "us"), including our website at www.lesterandcarter.com and all professional advisory services we provide. By engaging with our services or accessing our website, you agree to be bound by these Terms.

Lester & Carter Consulting is registered in South Africa and operates globally across multiple jurisdictions. These Terms are subject to the laws of the Republic of South Africa unless otherwise agreed in writing.

2. Acceptance of Terms

By accessing our website, submitting an enquiry, or entering into an advisory engagement with Lester & Carter, you confirm that you have read, understood, and agree to these Terms. If you are entering into an engagement on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

We reserve the right to amend these Terms at any time. Continued use of our services following notification of any change constitutes acceptance of the revised Terms.

3. Services Description

Lester & Carter provides professional management consulting, advisory, and strategic services to institutional clients globally. Our services include, but are not limited to:

Growth strategy and market entry advisory

Capital advisory and transaction readiness services

Corporate governance design and implementation

Performance optimization and operational restructuring

Board and executive advisory services

ESG strategy and reporting framework development

All services are provided pursuant to individual engagement agreements which shall take precedence over these Terms in the event of any conflict.

4. Engagement Terms

All advisory engagements are governed by a formal Engagement Letter or Statement of Work agreed between the parties prior to commencement of work. Fees, timelines, deliverables, and specific obligations are defined within those documents. Our standard payment terms are 30 days from invoice date unless otherwise agreed in writing.

Lester & Carter reserves the right to decline any engagement at its absolute discretion. We reserve the right to terminate an engagement where we have reasonable grounds to believe that the engagement would conflict with our professional obligations, ethical standards, or applicable law.

5. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information shared in connection with an advisory engagement. Lester & Carter will not disclose client information to third parties except as required by law, with the explicit consent of the client, or where such disclosure is necessary to provide the agreed services.

Our confidentiality obligations survive the termination of any engagement agreement and remain in force indefinitely unless the information enters the public domain through no fault of ours.

6. Intellectual Property

All methodologies, frameworks, templates, tools, and processes developed by Lester & Carter prior to or independently of any client engagement remain the sole intellectual property of Lester & Carter. Deliverables specifically created for a client as part of an engagement are assigned to that client upon receipt of full payment, subject to the terms of the applicable Engagement Letter.

The Lester & Carter name, logo, and brand materials are protected intellectual property. Use of our brand assets requires prior written consent.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Lester & Carter's total liability in connection with any engagement shall not exceed the total fees paid by the client in respect of the specific matter giving rise to the claim. We exclude all liability for indirect, consequential, or special damages.

Our advice is provided on the basis of information available to us at the time of the engagement. We accept no liability for changes in law, regulation, market conditions, or other external factors occurring after the delivery of our advice.

8. Governing Law

These Terms, and any dispute arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the Republic of South Africa. The parties submit to the non-exclusive jurisdiction of the South African courts, save where the parties have agreed to alternative dispute resolution mechanisms in their engagement agreement.
